Welcome to Jay Kelly Designs LLC (“JKD,” “we,” “us,” “our”). These Terms & Conditions (“Terms”) govern your access to and use of our website, platform, and services, including any SMS/MMS messages sent through our A2P 10DLC messaging program. By using our website, purchasing a plan, creating an account, or opting in to SMS, you agree to these Terms.

If you have a separate written agreement (proposal, Order Form, or Statement of Work), it may supplement or override specific sections of these Terms where there is a direct conflict.

1) Services & Plan Details

Monthly Plan

JKD offers a $296/month subscription plan that includes:

  • A fully built website
  • Access to the Jay Kelly Designs platform (web and mobile app)
  • A business phone number for texting and calling
  • CRM access
  • Automations
  • Remarketing tools
  • Customer review tools

2) Billing, Auto-Renewal, and Payments

Advance Payment & Auto-Renewal

Subscription fees are billed in advance and auto-renew each billing cycle until canceled. By subscribing, you authorize JKD to charge your saved payment method for recurring subscription fees and any applicable usage-based charges.

Payment Failures & Suspension

If a payment fails, JKD may retry processing your payment and may suspend platform access and related services until your account is brought current.

3) Usage-Based Charges (Rebillable Costs)

In addition to your subscription fee, clients incur additional charges based on phone number usage, SMS/MMS messaging, voice calls, and number intelligence services.

4) Refund Policy (No Refunds)

All payments made to Jay Kelly Designs LLC are final and non-refundable, including subscription fees and usage charges. By signing up, you acknowledge that our products are custom-built, immediately initiated, and non-reversible once delivery begins.

5) Cancellations

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period, and no future subscription charges will be made beyond that point. No refunds are provided for unused time, prepaid terms, or usage.

6) SMS / Text Messaging Terms (A2P 10DLC)

SMS Disclosure

By opting in, you agree to receive text messages from JKD related to service notifications, reminders, marketing offers, account authentication (2FA), project updates, and other service-related communications.

  • Message frequency may vary.
  • Message & data rates may apply according to your mobile carrier’s plan.

Consent

You must provide explicit consent to receive SMS/MMS. Consent may be collected through website forms, checkout forms, keyword opt-ins, paper forms, or verbal consent through customer support. Consent is not a condition of purchase.

Opt-Out / Help

  • Reply STOP to opt out at any time.
  • Reply HELP for assistance.
  • After opting out, you may receive one final confirmation message.

Message Delivery

JKD does not guarantee uninterrupted or error-free message delivery. Delays or failures may occur due to factors outside our control (carrier/network issues, device settings, filtering, etc.).

Acceptable Use

You agree not to use our messaging services to send content that is unlawful, abusive, harassing, defamatory, fraudulent, or harmful.

7) Disclaimers & Limitation of Liability

No Guaranteed Results

We provide systems, websites, automation, and tools designed to improve lead capture and follow-up. Results depend on many factors outside JKD’s control, and we do not guarantee specific outcomes (revenue, lead volume, conversion rate, rankings, etc.).

Limitation of Liability

To the maximum extent permitted by law, JKD will not be liable for indirect, incidental, special, consequential, or punitive damages. JKD’s total liability for any claim related to the services will not exceed the amount you paid to JKD in the 30 days before the event giving rise to the claim.

9) Updates to These Terms

JKD may update these Terms at any time. Changes will be posted on our website and/or communicated where feasible. Continued use of our services after changes means you accept the updated Terms.
